Dhanuka Agritech Ltd. Overview
Dhanuka Agritech is one of India's leading branded crop-protection formulators, built over four decades on an asset-light model: it in-licenses or sources patented and specialty molecules from multinational innovators (principally Japanese, American and European), formulates them at owned plants in Gujarat, Rajasthan and Jammu & Kashmir, and pushes them through one of the deepest farm-gate distribution networks in Indian agrochemicals — reported at roughly 8,800 distributors/dealers and ~80,000 retailers reaching about 10 million farmers. It is a pure-play domestic agrochemical company with a herbicide-heavy kharif and insecticide/fungicide-heavy rabi seasonality, revenue of ₹2,020 Cr in FY2026 and a structurally debt-free balance sheet. Since FY2024 it has been attempting a strategic upgrade — backward integration into technical manufacturing at Dahej, acquisition of Bayer's iprovalicarb and triadimenol rights (its first international platform), and a new ₹200 Cr formulation plant at Nagpur — while navigating weather-driven volatility, a de-rated share price and margin pressure in FY2027.
What the company does
Dhanuka Agritech manufactures and markets agrochemicals — herbicides, insecticides, fungicides, plant growth regulators (PGRs), biologicals/biostimulants and adjuvants — in liquid, dust, powder and granule forms. The company's own business description (as carried in its annual report and reproduced in market-data profiles) characterises it as an India-based agri-input company engaged in manufacturing a wide range of agro-chemicals in these categories. Aggregator profiles (Screener, citing company disclosures) report 300+ product registrations and roughly 90 marketed products.
Business model
The company's model has three layers:
-
Molecule access (in-licensing / partnership). Dhanuka's historical competitive edge has been its relationships with global innovators that supply technical-grade active ingredients (or co-market new molecules) for launch in India under Section 9(3) registrations (first-time registration of a new molecule in India). Examples verified in recent disclosures include Tizom (sugarcane herbicide launched with Nissan Chemical, Japan, FY2024) and Dinkar (paddy herbicide launched with Hokko Chemical, Japan, Q1 FY2026). ICRA and CARE both cite these multinational tie-ups as a core rating strength because they support specialty pricing and margins [ICRA; CARE].
-
Formulation manufacturing. Owned formulation units in Gujarat (Sanand), Rajasthan (Keshwana) and Jammu & Kashmir (Udhampur); a technical (chemical synthesis) plant at Dahej, Gujarat, commissioned in FY2024; and a planned 23,000 MTPA formulation plant at Nagpur (operational ~April 2028) [Q1FY27].
-
Branded B2C distribution. Products are sold under Dhanuka brands through distributors and retailers, supported by large field-force and farmer-education activity. Management has repeatedly emphasised farmer outreach and demand generation in earnings calls.
A small but rising B2B component (selling technicals/intermediates and institutional sales, increasingly linked to Dahej output and the Bayer molecules) grew from ~4% of revenue in FY2024 to ~9% in FY2025 (Q4 FY2025 earnings call summary via Sabari Securities).
Value-chain position
Dhanuka sits in the mid-to-downstream segment of the agrochemical value chain: it historically purchased technical-grade AIs and added value through formulation, branding and distribution. Dahej marks a partial move upstream (backward integration), which ICRA described as expected to provide raw-material security and to expand contribution margins [ICRA]. It does not engage in discovery-stage molecule research (no NCE discovery programme has been disclosed).
Customer types and end-markets
Direct customers: distributors and dealers (trade channel), with retailers as the next tier; B2B customers for technicals and the international Bayer-molecule business.
End users: Indian farmers across field crops (paddy, soybean, cotton, maize, pulses, sugarcane, wheat) and horticulture (grapes, chilli, vegetables). Management flagged paddy, soybean, pulses, sugarcane, horticulture (especially grapes and chilli) and maize as focus crops (Q4 FY2025 call).
International end-markets (new): 20+ countries across Latin America, EMEA and Asia for iprovalicarb (Melody brand family) and triadimenol (seed treatment), via a distributor-led global B2B model announced in January 2025.
Independent characterisation
Dhanuka is best understood as a high-ROE, low-capital-intensity domestic distribution franchise that monetises in-licensed chemistry. Its moat has been distribution depth plus a pipeline of 9(3) launches; its vulnerability is that the moat is not chemistry it owns. Two strategic shifts are underway: (a) partial vertical integration (Dahej, Nagpur) that raises fixed-asset intensity and has so far produced EBITDA losses at Dahej, and (b) ownership of acquired molecule rights (Bayer) that begins to give it proprietary IP and an international foothold. Revenue growth has been modest (≈7.8% 5-year CAGR FY2021–FY2026) and highly monsoon-sensitive, while margins have stayed in a ~16–20% EBITDA band.
Strategy
Stated strategic themes (paraphrased from AR, investor presentations and calls)
-
"Transforming India through Agriculture" — founder's long-standing mission statement, reiterated in the 2024 succession filing.
-
Innovation-led portfolio: steady cadence of 9(3) and specialty launches with global partners; target to keep the innovation-turnover index meaningful (11.6% in Q1 FY2027).
-
Backward integration: Dahej technical synthesis to secure supply, improve margins and localise acquired molecules.
-
Globalisation via owned molecules: Bayer iprovalicarb/triadimenol as the platform for a global B2B model with local distributors.
-
Capacity and automation: Nagpur, a highly automated plant designed to cut labour dependence and meet global safety/efficiency standards, also replacing the Udhampur incentive economics that lapsed March 2026.
-
Farmer engagement and demand creation: large-scale farmer education and outreach.
-
Capital allocation: debt-free balance sheet, consistent buybacks plus dividends, and openness to inorganic opportunities ("actively scouting").
-
Employee alignment: ESOP 2026 and SAR 2026 schemes (approved at 41st AGM).
ESG / sustainability commitments
No quantified emissions or water targets were found in the sources reviewed. Automation at Nagpur and biological/biostimulant products are positioned as sustainability-aligned.
Medium-term guidance and targets
The ₹2,300 Cr FY2027 ambition is no longer achievable on current guidance (FY2026 actual ₹2,020 Cr plus low-single-digit growth implies roughly ₹2,050–2,100 Cr).
Products & Services
Innovation metric
"New molecules / products launched in the last three years" as a share of revenue: 15.3% in 9M FY2024 (HDFC Securities) and 11.56% in Q1 FY2027 [Q1FY27], indicating a declining innovation-turnover index in the latest quarter.

Financial Narrative
All figures standalone, ₹ Cr, audited, sourced from annual reports as compiled by [Screener] and ValueResearch, with FY2025/FY2026 cross-checked against [AR FY2025] and [Q4FY26]. Ratios marked "derived" are computed by the analyst from the stated figures.
Income statement
Notes: FY2022–FY2024 EBITDA per Screener "operating profit" (rounded); FY2025–FY2026 EBITDA per company presentation [Q4FY26]. Other income was ₹36.10 Cr in FY2025 and ₹43.01 Cr in FY2026 [Q4FY26]. Annual gross profit and EBIT (operating income after D&A) are not separately retrieved; FY2025 depreciation was ~₹55.5 Cr (broker table). Quarterly gross margin: 36.0% in Q1 FY2026 (₹190.34 Cr) and 35.2% in Q1 FY2027 (₹162.43 Cr).
Margins (derived)
Revenue CAGR: FY2021 (₹1,387.47 Cr) → FY2026: 7.8% (5-year); FY2022 → FY2026: 8.1% (4-year). Screener's own five-year sales growth figure is 7.8%.
Per-share data
Diluted EPS equals basic (no dilutive instruments outstanding in FY2026; ESOP 2026 approved only in Aug 2026). Q4 FY2026 basic EPS: ₹21.69.
Balance sheet
Notes: Net debt = borrowings − cash − investments (investments include a small unquoted strategic portion such as KisanKonnect; the bulk is treasury/liquid investments). Short-term vs long-term debt split is not separately disclosed in the aggregator compilation; Axis Securities' table shows debt of ₹42.2 Cr at FY2025 (vs Screener's ₹74 Cr including other borrowings/leases) — a discrepancy attributable to lease-liability classification.
Working capital and liquidity (3 years available)
Cash flow
Sources: Blinkx (FY2023–FY2025 audited cash flows); [Q4FY26] for FY2026 (CFO ₹196.20 Cr, investing ₹118.05 Cr outflow, financing ₹59.79 Cr outflow).
Return and efficiency ratios (derived)
ROIC: With negligible debt and large treasury investments, ROIC on operating capital is materially higher than ROE; a precise ROIC is not computed because operating vs. treasury asset splits are not disclosed.
Net debt/EBITDA: Negative in all years (net cash).
Interest coverage: 77.2x (FY2022) and 89.4x (FY2023) per ICRA; 164x in FY2019. Later years not disclosed but debt remained negligible.
Cash conversion cycle: Not publicly disclosed in sources reviewed. Agrochemical receivables are seasonally high at Q2-end; H1 FY2026 CFO was ₹398 Cr vs ₹362 Cr in H1 FY2025 (Q2 FY2026 results note).
Commentary on trends and inflections
Growth. Dhanuka's revenue path shows a two-steps-forward, one-step-back pattern: strong years (FY2021 +24%, FY2023 +15%, FY2025 +16%) alternate with near-flat years (FY2022 +6.5%, FY2024 +3.4%, FY2026 −0.75%). The swing factor is almost entirely weather (monsoon timing/distribution and resulting pest pressure) and crop prices, plus channel inventory cycles following the 2022–24 global agrochemical destocking and Chinese generic price deflation. FY2026's flat revenue reflected adverse weather in Q2 (revenue −8.6%) and Q3 (−7.9%), partly offset by Q4 (+9.4%).
Margins. The EBITDA margin expanded from 16.4% (FY2023) to 20.5% (FY2025), helped by richer specialty mix, softening raw-material prices, and the first Bayer-molecule contribution, despite Dahej EBITDA losses (−₹14 Cr FY2025; −₹13 Cr FY2026). FY2026's 20.0% margin was flattered by ₹29 Cr of GST refunds (₹14.5 Cr in Q4 alone), per management on the Q4 FY2026 call; excluding these, underlying FY2026 EBITDA margin would have been ~18.5% (derived: (403.48 − 29)/2,019.79). The Q4 FY2026 margin of 25.8% — a record — is therefore not fully structural, which management itself acknowledged.
Profitability inflection in FY2027. Q1 FY2027 revenue fell 12.6% to ₹461.93 Cr, EBITDA fell 34% to ₹55.01 Cr (11.9% margin vs 15.7%), and PAT fell 35% to ₹36.30 Cr, on a delayed monsoon (volume −12.75%) and sticky costs [Q1FY27]. Management cut FY2027 guidance to lower-single-digit revenue growth with an EBITDA decline.
Balance sheet. Net worth rose from ₹960 Cr to ₹1,682 Cr over FY2022–FY2026 despite ₹185 Cr of buybacks within the period, reflecting high retention. Capital intensity stepped up (net fixed assets tripled from ₹159 Cr to ₹467 Cr) with Dahej and the Bayer rights, which explains the falling asset turnover (1.25x → 1.04x) and ROE (23% → 18.6%). The Nagpur plant (₹200 Cr, majority of capex in FY2028) will extend this trend.
Cash flow. CFO was weak relative to PAT in FY2023–FY2024 (~57% conversion) as working capital absorbed cash, then improved strongly in FY2025 (88%) and FY2026 (68%). FY2026 FCF of ₹169 Cr was the best since FY2021 as capex normalised after Dahej.

Analyst Conclusions
Management guidance (latest)
-
FY2027 revenue: lower-single-digit growth; EBITDA to decline YoY (Aug 2026).
-
FY2027 EBITDA margin: ~100 bp decline (May 2026 guidance, likely now worse given Q1).
-
Dahej FY2027: revenue ~₹65 Cr; small EBITDA loss (~₹4–5 Cr).
-
Five product launches in FY2027; Nagpur plant capex >₹100 Cr in FY2028; plant live ~April 2028.
-
Debt-free balance sheet maintained; inorganic opportunities under evaluation.
Consensus growth expectations
Data-provider consensus implies FY2027 EPS roughly flat-to-down versus FY2026's ₹63.72 (Tickertape shows FY2026 base ₹63.72; forward figures paywalled). Pre-Q1 broker models (e.g., Axis May 2025: FY2027E revenue ₹2,917 Cr, PAT ₹457 Cr) are now clearly stale versus guidance.
Bull case
-
Earnings trough at a trough multiple: at ~15x TTM P/E and ~10x EV/EBITDA, the stock prices in the Q1 FY2027 weakness; a normal rabi season and fungicide momentum (+11% in Q1) could restore mid-teens EBITDA growth from FY2028.
-
Mix upgrade from owned molecules and Dahej: iprovalicarb on-shoring plus Dahej utilisation moving toward 80% could turn a ~₹13 Cr annual EBITDA drag into a contributor, structurally lifting margins by ~1pp.
-
Capital returns and optionality: ~₹360 Cr net cash, CARE AA, and a history of ₹355 Cr in buybacks since 2020 support per-share compounding and leave room for accretive M&A.
Bear case
-
Structural growth deceleration: a 7.8% five-year revenue CAGR, a declining innovation index (11.6%), and FY2027 guidance of low-single-digit growth suggest the in-licensing model is maturing.
-
Margin normalisation: FY2026's 20% EBITDA margin included ₹29 Cr of GST refunds; Udhampur incentives expired in March 2026; Q1 FY2027 margin was only 11.9%.
-
Rising capital intensity with uncertain returns: asset turnover fell from 1.25x to 1.04x and ROE from 23% to 18.6% as Dahej and Bayer rights entered the base; Nagpur adds ₹200 Cr more before generating revenue in FY2029.
Analyst verdict
Dhanuka Agritech is a well-run, conservatively financed, promoter-controlled franchise passing through an awkward transition. For three decades it compounded by doing one thing very well: taking other companies' molecules to Indian farmers through an unusually deep distribution network, at MNC-like margins and with almost no capital. That model produced ROEs in the low-to-mid twenties, a net-cash balance sheet and repeated buybacks. Its limitation is now visible in the numbers: revenue has compounded at under 8% for five years, FY2026 revenue was flat, the share of sales from recent launches is falling, and the first quarter of FY2027 showed how quickly operating leverage turns negative when the monsoon disappoints, with EBITDA down a third on a 13% revenue decline.
Management's response — owning molecules (Bayer), owning chemistry (Dahej) and owning more capacity (Nagpur) — is strategically sensible but has, so far, cost margin and capital efficiency without yet delivering visible growth. FY2026's headline 20% EBITDA margin flattered underlying performance by roughly 1.5 points because of GST refunds, and the expiry of Udhampur incentives removes another cushion.
At roughly ₹920 per share, the market already discounts much of this: the stock is down about 39% in a year and trades near 15x trailing earnings and about 10x EV/EBITDA, with ~9% of market capitalisation in net cash. The downside is cushioned by the balance sheet, the AA credit profile and a promoter group that has consistently returned capital. The upside requires evidence that the international Bayer business and Dahej can scale to material profit contributors.
Verdict: a quality domestic agrochemical franchise at a cyclical low, best characterised as "accumulate on evidence" rather than "buy on hope". The Q2 and Q3 FY2027 prints — specifically international iprovalicarb sales, Dahej EBITDA, and underlying margin excluding one-offs — are the decisive monitorables.
Data limitations: Annual R&D spend, annual gross profit, full FY2026 balance-sheet line items (working capital, intangibles), employee trend, complete top-10 institutional holder list, director compensation beyond the MD, ESG ratings and current Indian market-size data were not publicly retrieved and are flagged accordingly.
